ebounti groceries Services Private Limited provides its services to you subject to the notices, terms, and conditions set forth in this agreement (the "Agreement"). These terms of use (the "Terms of Use") govern your use of the Site.

In addition, when you use any ebounti groceries service (e.g., Store Search, Enquiry), you will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they are incorporated into this Agreement by this reference. By using the Site, and/or by registering with us, you signify that you agree to these terms of use, including that you consent to the information practices disclosed in Privacy Policy.

ebounti groceries reserves the right to change this site and these terms and conditions at any time.

ebounti groceries retains the right to deny access to anyone who we believe has violated any of these Terms of Use.

Accessing, browsing or otherwise using the Site indicates your agreement to all the terms and conditions in this agreement, so please read this agreement carefully before proceeding.

Contents Posted on Site

You are responsible for any notes, messages, emails, postings, photos, profiles, opinions, ideas, images or other materials or information posted or transmitted to the Site (collectively, "Content"). Such Content will become the property of ebounti groceries. ebounti groceries shall be entitled to, consistent with our Privacy Policy, use the Content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include Content you provide. You agree that any Content you post may be used by ebounti groceries, consistent with our Privacy Policy and Rules of Conduct on Site as mentioned herein, and you are not entitled to any payment or other compensation for such use.

No Contractual or Professional Relationship

By using the services of ebounti groceries, no contractual or professional relationship is created between the Customer and the Vendor.

We make no guarantees, representations or warranties whatsoever, whether expressed or implied, with respect to store, expertise, quality of products or other information herein. Further, we do not, in any way, endorse any individual described herein. In no event shall we be liable to you or anyone else for any decision made or action taken in reliance on such information.

We cannot guarantee the availability of any products in the stores at any particular time. We will not be liable for cancelled, delayed or otherwise unfulfilled orders or any damage resulting there from, or for any other damage resulting from the use of the Site or grocery and products provider whatsoever.

You are strongly advised to perform your own investigation prior to selecting a store including verification of listed credentials.

Fees and Charges

Even though the ebounti groceries provides free of charge service to search and place orders with the store, the Store owner will charge for the purchase of products.

ebounti groceries has no control or concern with the costs charged by grocery store listed by the Site or informed by the team. The cost incurred for any product purchase rendered by collaborating grocery and products provider profiled on the Site will apply and will be entirely your responsibility.

In addition, ebounti groceries has all the rights to levy any penalties for non-standard behaviour including consistent 'No-Shows'. In any case, ebounti groceries will warn the user for any such impending penalties. This is done to discourage and/or stop any person and/or entity jeopardising the true intent of our service.

Rules of conduct

1. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.
2. ebounti groceries may review, edit, reject, refuse to post and/or delete any Content that in the sole judgment of ebounti groceries violate these Terms of Use or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of another person.
3. Any information provided by you on this Site shall not be misleading in any way.
4. You may not post or transmit Content, (even if made in a joking, sarcastic or unintended manner), if it in any way:

   6. Interferes with another user's usage of the Site;
   7. Refers to any website or URL that, in the sole discretion of ebounti groceries, contains material that is inappropriate for the Site, contains content that would be prohibited on the Site, or violates the letter or spirit of these Terms of Use.
5. You must use the Site in a manner consistent with any and all applicable laws and regulations. Illegal and/or unauthorized uses of the Site, including without limitation, collecting usernames and/or email addresses of registered members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Site, are not permitted. This includes the unauthorized interception of the data stream coming from or going into the Site, as well as attempting to gain unauthorized access to the Site or exceeding your authorized access.
6. You may not engage in advertising to, or solicitation of, other users through the Site to buy or sell any products or services, including, but not limited to services related to the Site. You may not transmit any chain letters or unsolicited commercial or junk email to other users via the Site. It is also a violation of these Terms of Use to use any information obtained from the Site in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to another person outside of the Site without their prior explicit consent.

You understand that ebounti groceries has the right at all times to disclose any information (including the identity of the persons providing information or materials on the Site) as necessary to satisfy any law, regulation or valid governmental request. 8. ebounti groceries reserves the right, but has no obligation, to monitor the materials posted in the public areas of the Site including the Patient recommendations. ebounti groceries shall have the right to remove or edit any Content that in its sole discretion violates, or is alleged to violate, any applicable law or either the spirit or letter of these Terms of Use. Notwithstanding this right of ebounti groceries, you remain solely responsible for the Content of the materials you post in the public areas of the Site and in your private messages. Please be advised that Content posted in public areas of the Site does not necessarily reflect the views of ebounti groceries. 9. ebounti groceries shall have all the rights to take necessary action and claim damages that may occur due to your involvement/participation in any way on your own or through group(s) of People, intentionally or unintentionally in DoS/DDoS (Distributed Denial of Services).
10. You may not post, distribute, or reproduce in any way any copyrighted material, trademarks, or . other proprietary information without obtaining the prior written consent of the owner of such proprietary rights.

Disclaimer of Warranties and Liability

This Site, all the materials and products (including but not limited to software) and services, included on or otherwise made available to you through this Site and/or the call centre are provided by ebounti groceries "as is" and "as available" basis without any representation or warranties, express or implied except otherwise specified in writing. Without prejudice to the forgoing paragraph, ebounti groceries does not warrant that:

• This Website and/or the call centre will be constantly available, or available at all. or
• The information on this website and/or fetched from the call centre is complete, true, accurate or non-misleading.

ebounti groceries will not be liable to you in any way or in relation to the contents of, or use of, or otherwise in connection with, this website.

ebounti groceries does not warrant that this Site; information, content, materials, or services included on or otherwise made available to you through this Site, their servers, or electronic communication are free of viruses or other harmful components.

Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply to you, and you might have additional rights.

You will be required to enter a valid email and phone number while using our services. By registering your details with us, you consent to be contacted by us via phone calls and/or SMS notifications and/or email. ebounti groceries will not use your personal information to initiate any promotional emails, phone calls or SMSes.

You agree that ebounti groceries will not be liable to you or any third party for any suspension or discontinuation of any of the Products.

Applicable Law

This Agreement shall be governed by and interpreted and construed in accordance with the laws of US. The place of jurisdiction shall be in Illinois.

Your Account

You agree that any use of the Site is at your own risk and ebounti groceries is not responsible for it. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You are responsible for notifying us if your password has been hacked or stolen. You may notify us by sending an email to support@ebounti.com.

Termination

We may terminate and/or suspend your registration immediately, without notice, if there has been a violation of these Terms of Use or other policies and terms posted on the Site by you or by someone using your Credentials. We may also cancel or suspend your registration for any other reason, including inactivity for an extended period, but will attempt to notify you in advance of such cancellation or suspension. ebounti groceries shall not be liable to you or any third party for any termination of your access to the Site and/or the Services. Further, you agree not to attempt to use the Site and/or the Services after any such deletion, deactivation or termination. The agreement shall survive any termination or expiration of these Terms of Use.

We at ebounti groceries respect the intellectual property of others. In case you feel that your work has been copied in a way that constitutes copyright infringement you can write to us at info@ebountigroceries.com.

Transfer

We may transfer this contract at any time to any parent, subsidiary, or any affiliated company, or as part of the sale to, merger with, or other transfer of our company to another entity. We will post a notice on the Site regarding any change of ownership so that you have the opportunity to discontinue your use of the Site or cancel your registration if you do not wish to continue to use the Site and the Services under the new ownership. You may not assign, transfer or sublicense these Terms of Use to anyone else and any attempt to do so in violation of this section shall be null and void.
